Terms of Use and
License Agreement

Crowdfund Mainstreet is a Regulation Crowdfunding platform that lists offerings of securities (either equity or debt) issued by private companies (“Issuer”) for the purpose of raising capital from the registered investors (“Investors”) on our site.

Members of the public can view and download educational and disclosure materials provided by the Issuers in accordance with this Agreement, but only registered Investors are permitted to participate in discussions with the Issuers on the site or invest in one or more of the offerings.

License:

Crowdfund Mainstreet grants you a non-exclusive license to use the platform and the materials provided that you agree to the terms and conditions of this Agreement.

Conditions of the use of our site:

Our site is to be used only for legitimate securities offerings by US companies, and for self-directed investment decisions. By accessing the offerings and education materials on our site, you agree to be bound by the terms of this Agreement. Your use of the content of our site is personal to you and is not transferable or assignable to any third party. You agree not to remove any copyright, trademark or other notices contained on materials you print or to distribute information to third parties.

Nothing on our site should be construed as investment advice. All investments involve risk and you are encouraged to consult with an attorney or investment advisor for all legal, tax and investment advice you seek in making investment decisions.

Issuers and their representatives are solely responsible for the materials posted on our site and represent that they are following and will continue to follow all applicable rules and regulations. No information provided by the Issuer shall contain untrue statements of material fact or omit a material fact. Issuers grant CrowdFund Mainstreet a perpetual and permanent non-exclusive license to all data and intellectual property posted on our site. Each Issuer (together with its employees, agents, and customers) agrees to indemnify and hold harmless CrowdFund Mainstreet and its officers, directors, employees, and service providers, from and against any and all claims (including attorneys’ fees), resulting from a breach or failure to follow the terms of this Agreement.

Crowdfund Mainstreet has the right to rely on all information entered on our site and reserves the right to refuse access to any violators of this Agreement or suspected abusers of the intended use of our site. Posting inappropriate, inaccurate, fraudulent or offensive material is strictly prohibited.

Crowdfund Mainstreet does not warrant or guarantee the accuracy of the information on our site, or the investment decisions made based on such information. Users agree that the reliance on the information contained on our site is at their sole risk.

This Agreement shall be governed by and construed in accordance with the laws of the state of California. If a dispute arises out of or relates to the use of the platform or alleged breach of the terms hereof, the parties agree to first try to resolve the dispute through informal negotiations. If the dispute is not settled through informal negotiations, the parties agree to participate in good faith in mediation administered under JAMS before resorting to arbitration, litigation, or some other dispute resolution procedure. In the event that the parties are unable to agree on a mediator, a mediator shall be appointed by the named administrator. The process shall be confidential based on the terms acceptable to the mediator and/or the mediation service provider.
